1. AGREEMENT OVERVIEW

This Master Agreement (“Agreement”) governs all services, platforms, programs, loyalty systems, financial tools, travel services, membership programs, and digital products operated by Bokkara Management LLC (“Bokkara,” “Company,” “we,” “us,” or “our”).

This Agreement applies to all users, members, partners, affiliates, and corporate clients accessing any Bokkara system, including but not limited to:

• ClubPoints Program
  
• ClubMiles Program
  
• ClubCoverage Program
  
• BNPL (Buy Now Pay Later) services
  
• Corporate travel solutions
  
• Subscription memberships
  
• Partner and affiliate networks
  
• Any future programs or branded systems introduced by Bokkara
  

By using any Bokkara service, you agree to be legally bound by this Agreement in its entirety.

2. MASTER PROGRAM DEFINITIONS

2.1 ClubPoints

ClubPoints is a proprietary reward and engagement system operated by Bokkara.

• ClubPoints have no cash value unless explicitly stated
  
• Points may be earned through qualifying purchases, engagement, or promotions
  
• Bokkara reserves the right to modify earning rates, redemption structures, or eligibility at any time
  
• ClubPoints may expire, be revoked, or adjusted without notice in cases of fraud, abuse, or account inactivity
  

2.2 ClubMiles

ClubMiles is a travel-based rewards and loyalty system.

• ClubMiles may be used for travel-related benefits, discounts, or upgrades where applicable
  
• ClubMiles do not represent actual airline miles unless explicitly partnered with a third-party carrier
  
• Conversion rates, redemption values, and availability are subject to change without notice
  
• Bokkara does not guarantee availability of any travel reward inventory
  

2.3 ClubCoverage

ClubCoverage is a protection and benefit-based program that may include travel protection, compensation benefits, delay assistance, or subscription-based coverage services.

• Coverage benefits are not insurance unless explicitly stated in writing
  
• All claims are subject to verification and approval
  
• Coverage limits, eligibility, and payout structures are determined solely by Bokkara
  
• Bokkara reserves the right to deny claims suspected of fraud, abuse, or misrepresentation
  
• Third-party disruptions (airlines, hotels, transport providers) remain the responsibility of those providers unless otherwise specified
  

3. PROGRAM MODIFICATION RIGHTS

Bokkara reserves the unrestricted right to:

• Modify, suspend, or terminate ClubPoints, ClubMiles, ClubCoverage, or any program
  
• Change redemption rates, earning structures, or eligibility rules
  
• Introduce new tiers, restrictions, or qualification requirements
  
• Revoke benefits in cases of misuse or violation
  

Users acknowledge that all programs are promotional and discretionary unless otherwise contractually defined.

4. NO FINANCIAL INSTRUMENT STATUS

ClubPoints, ClubMiles, and ClubCoverage:

• Are not financial securities
  
• Are not bank deposits
  
• Do not represent equity, ownership, or investment returns
  
• Cannot be redeemed for guaranteed cash value unless explicitly stated
  

5. BNPL & FINANCIAL FLEX PROGRAMS

Where applicable:

• BNPL services are subject to approval, verification, and repayment terms
  
• Late payments may result in penalties, suspension, or legal recovery actions
  
• Access to ClubPoints, ClubMiles, or ClubCoverage may be restricted during delinquency
  
• Bokkara may offset owed balances against rewards or credits where legally permitted
  

6. ELIGIBILITY & ACCOUNT CONTROL

Bokkara reserves the right to:

• Approve or reject any user or corporate account
  
• Limit access to any program at its discretion
  
• Audit accounts for fraud, abuse, or suspicious activity
  
• Permanently terminate accounts without prior notice for violations
  

7. REDEMPTION & AVAILABILITY DISCLAIMER

• All rewards, benefits, and coverage are subject to availability
  
• Redemption is not guaranteed at any time
  
• Blackout periods, capacity limits, and partner restrictions may apply
  
• Bokkara may substitute benefits of equal or lesser value at its discretion
  

8. FRAUD, ABUSE & MISUSE

Any of the following is strictly prohibited:

• Manipulating points, miles, or coverage systems
  
• Creating fake accounts or duplicate identities
  
• Exploiting system vulnerabilities
  
• Reselling or transferring rewards without authorization
  

Violations may result in:

• Immediate loss of all benefits
  
• Account termination
  
• Legal action and financial recovery
  

9. THIRD-PARTY SERVICES

Bokkara may integrate with or facilitate services from third parties.

• Bokkara is not responsible for third-party failures, delays, or damages
  
• Third-party terms apply independently
  
• Users must resolve disputes directly with providers unless otherwise required by law
  

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

• Bokkara is not liable for indirect, incidental, or consequential damages
  
• No guarantee is made for service availability or uninterrupted access
  
• Total liability shall not exceed fees paid within the last 30 days of the claim
  

11. NO WARRANTY

All services, programs, and systems are provided:

“AS IS” and “AS AVAILABLE”

Bokkara makes no warranties regarding:

• Accuracy of rewards or balances
  
• Continuous system availability
  
• Guaranteed travel or financial outcomes
  

12. INTELLECTUAL PROPERTY

All systems, branding, algorithms, names, including:

• ClubPoints
  
• ClubMiles
  
• ClubCoverage
  
• Bokkara platforms and software
  

are the exclusive intellectual property of Bokkara Management LLC.

Unauthorized use is strictly prohibited.

13. TERMINATION OF PROGRAM ACCESS

Bokkara may suspend or permanently revoke access to:

• Any program
  
• Any account
  
• Any earned or pending rewards
  

for any reason including violation, fraud, or operational necessity.

14. INDEMNIFICATION

Users agree to indemnify and hold harmless Bokkara and its affiliates from all claims arising from:

• Use of programs or services
  
• Violation of this Agreement
  
• Disputes involving third parties
  

15. FORCE MAJEURE

Bokkara is not responsible for disruptions caused by:

• Natural disasters
  
• Government actions
  
• Airline or travel system failures
  
• Technical outages
  
• Economic or geopolitical events
  

16. DISPUTE RESOLUTION

All disputes shall be resolved through:

• Good faith negotiation first
  
• Binding arbitration if unresolved
  

Users waive the right to class-action participation unless prohibited by law.

17. GOVERNING LAW

This Agreement is governed by the jurisdiction where Bokkara Management LLC is legally registered, without regard to conflict of law principles.

18. CHANGES TO AGREEMENT

Bokkara may update or revise this Agreement at any time. Continued use constitutes acceptance of changes.

19. ENTIRE AGREEMENT

This document represents the full legal agreement between users and Bokkara, superseding any prior communications or agreements.
