This ClubAvantage Partnership Agreement ("Agreement") is entered into between Bokkara Management LLC ("Bokkara," "Company," "we," "our," or "us") and the individual enrolling in the ClubAvantage Partnership Program ("Partner," "you," or "your").

By enrolling in the ClubAvantage Partnership Program, you agree to all terms, conditions, policies, responsibilities, and program rules outlined in this Agreement.

1. PARTNERSHIP PLAN

ClubAvantage Individual Partnership

Monthly Partnership Fee: USD $149.99 per month

The ClubAvantage Individual Partnership provides Partners with access to Bokkara's travel management services, ClubCoverage benefits, ClubMiles rewards, ClubPoints accumulation, Book Now, Pay Later travel solutions, concierge support, travel experiences, disruption assistance, and additional travel-related benefits offered by Bokkara.

This Partnership is designed for individuals who travel for leisure, vacations, family trips, luxury travel, and lifestyle experiences while enjoying exclusive travel benefits and travel cost-saving opportunities through Bokkara.

2. PARTNERSHIP BENEFITS

Active Partners may receive access to the following services and benefits.

Dedicated Travel Management

Partners may receive assistance with:

• Flight reservations
• Hotel and resort reservations
• Vacation package reservations
• Cruise reservations
• Car rental reservations
• Family travel planning
• Group travel planning
• International travel support
• Itinerary planning
• Reservation modifications
• Travel coordination assistance

3. CLUBCOVERAGE BENEFITS

Every active ClubAvantage Partner receives access to ClubCoverage.

ClubCoverage is designed to help Partners reduce qualifying travel expenses by providing coverage of up to twenty-five percent (25%) of eligible travel booking costs.

Coverage may apply to:

• Flight-only bookings
• Hotel-only bookings
• Flight and hotel packages
• Car rental reservations
• Cruise bookings
• Vacation packages
• Multi-service travel itineraries

Coverage percentages, eligibility requirements, claim approvals, verification procedures, reimbursement methods, maximum limits, exclusions, and benefit qualifications are determined solely by Bokkara.

ClubCoverage benefits are promotional travel benefits and are not insurance products.

ClubCoverage is not travel insurance, health insurance, property insurance, or any regulated insurance product.

Bokkara reserves the right to approve, deny, adjust, suspend, or modify any coverage request at its sole discretion.

4. CLUBMILES REWARDS PROGRAM

Partners may participate in Bokkara's ClubMiles Rewards Program.

ClubMiles may be earned through qualifying:

• Airline bookings
• Hotel bookings
• Car rental bookings
• Cruise bookings
• Vacation packages
• Travel reservations booked through Bokkara
• Promotional activities approved by Bokkara

ClubMiles are promotional loyalty rewards and:

• Hold no cash value
• Cannot be redeemed for cash
• Cannot be sold
• Cannot be exchanged for currency
• Cannot be transferred except where expressly approved by Bokkara

ClubMiles earning rates, redemption values, expiration policies, qualification requirements, and program rules may be modified by Bokkara at any time.

5. CLUBPOINTS PROGRAM

Partners may accumulate ClubPoints through qualifying ClubMiles activity.

ClubMiles Conversion

Every one thousand (1,000) ClubMiles earned converts into fifteen (15) ClubPoints.

ClubPoints are used to help determine eligibility for certain Bokkara travel programs and benefits, including:

• ClubCoverage participation
• Book Now, Pay Later eligibility
• Travel reward opportunities
• Promotional travel offers
• Future Bokkara programs

ClubPoints:

• Hold no cash value
• Cannot be redeemed for currency
• Cannot be sold
• Cannot be transferred unless approved by Bokkara
• Remain subject to program rules and eligibility requirements

Bokkara reserves the right to modify ClubPoints conversion rates, qualification requirements, earning structures, expiration schedules, and program rules at any time.

6. BOOK NOW, PAY LATER (BNPL)

Eligible Partners may receive access to Bokkara's Book Now, Pay Later ("BNPL") program.

The BNPL program allows approved Partners to secure qualifying travel reservations immediately while deferring payment according to approved payment terms.

Eligibility may be determined by:

• Partnership standing
• Payment history
• ClubPoints balance
• Account activity
• Booking value
• Internal risk assessments
• Other operational criteria determined by Bokkara

Approval is not guaranteed.

Bokkara reserves the right to:

• Approve or deny requests
• Modify payment schedules
• Limit booking amounts
• Suspend BNPL access
• Revoke BNPL privileges

Failure to satisfy payment obligations may result in:

• Partnership suspension
• Loss of ClubCoverage benefits
• Loss of ClubMiles
• Loss of ClubPoints
• Booking cancellation
• Permanent program restrictions

7. TRAVEL EXPERIENCES & PARTNER PRIVILEGES

Active Partners may receive access to selected Bokkara travel and lifestyle experiences.

Travel Experiences

Partners may receive access to:

• Curated vacation experiences
• Destination experiences
• Luxury travel opportunities
• Resort experiences
• Cruise experiences
• Family travel experiences
• Seasonal travel promotions
• Partner-exclusive travel offers

Lifestyle Experiences

Partners may receive access to:

• Dining experiences
• Entertainment opportunities
• Special event access
• Lifestyle concierge assistance
• Travel-inspired experiences
• Exclusive partner promotions

Partner Privileges

Eligible Partners may receive:

• Priority support
• Travel planning assistance
• Exclusive travel promotions
• Early access to selected offers
• Dedicated partner communications
• Priority travel coordination assistance

Benefits vary based on destination availability, supplier participation, account standing, and program eligibility requirements.

8. PARTNERSHIP BILLING & PAYMENTS

The Partner agrees to the following payment terms:

• The monthly Partnership fee is USD $149.99.
• Payments are processed through PayPal or another approved payment method.
• Billing occurs automatically on the recurring billing date.
• The Partner is responsible for maintaining valid payment information.
• Failed, declined, disputed, reversed, or unauthorized payments may result in suspension or termination of benefits.

Bokkara reserves the right to suspend access to Partnership benefits until payment issues are resolved.

9. PARTNERSHIP CANCELLATION

Partners may cancel their Partnership at any time through their subscription management portal or approved payment provider.

The following conditions apply:

• Cancellation stops future recurring charges.
• Benefits remain active until the end of the current billing cycle.
• Previously paid fees are non-refundable except where required by applicable law.
• Cancellation may result in forfeiture of unused ClubMiles.
• Cancellation may result in forfeiture of unused ClubPoints.
• Cancellation may result in loss of ClubCoverage eligibility and Partnership benefits.

Any outstanding balances remain payable after cancellation.

10. PARTNER RESPONSIBILITIES

The Partner agrees to:

• Provide accurate traveler information
• Provide accurate payment information
• Review reservation details before confirmation
• Maintain valid travel documents and identification
• Comply with supplier rules and policies
• Comply with destination laws and regulations
• Pay all approved travel-related charges
• Conduct themselves respectfully toward Bokkara personnel and suppliers

The Partner accepts responsibility for all travel participation and travel-related decisions.

11. FAMILY MEMBERS, BENEFICIARIES & ACCOUNT USAGE

The ClubAvantage Partnership is intended for the enrolled Partner and eligible beneficiaries added to the Partner's account.

Children Coverage

Partners may add their biological children, legally adopted children, stepchildren, or legal dependents between the ages of zero (0) and fifteen (15) years old to their ClubAvantage account at no additional monthly cost.

To qualify for Partnership benefits, the child must:

• Be added to the Partner's account before travel.
• Travel on the same booking or itinerary as the Partner.
• Depart and return on the same reservation as the Partner unless otherwise approved by Bokkara.
• Meet any verification requirements requested by Bokkara.

Children added under this benefit do not receive separate ClubAvantage accounts and remain eligible only while traveling with the enrolled Partner.

Adult Travelers

Partnership benefits are intended solely for the enrolled Partner and approved adults listed on the Partner's account.

The Partner may not request travel bookings, ClubCoverage benefits, ClubMiles benefits, ClubPoints benefits, Book Now, Pay Later benefits, travel experiences, concierge services, or any other Partnership services for another adult unless that adult has been officially added to the Partner's account and approved by Bokkara.

Added Adults

Bokkara may permit Partners to add one or more adults to their account, subject to applicable fees, verification requirements, program rules, and approval by Bokkara.

Once approved and added to the account, eligible adults may receive access to applicable Partnership benefits as determined by Bokkara.

Misuse of Benefits

Any attempt to:

• Share benefits with unauthorized individuals
• Misrepresent traveler relationships
• Transfer benefits to non-approved individuals
• Circumvent Partnership eligibility requirements
• Obtain benefits on behalf of unauthorized travelers

may result in:

• Suspension of Partnership benefits
• Forfeiture of ClubMiles
• Forfeiture of ClubPoints
• Cancellation of travel benefits
• Termination of the Partner's account without refund

Bokkara reserves the right to request documentation to verify the identity, age, relationship, or eligibility of any individual receiving benefits under the ClubAvantage Partnership Program.

12. THIRD-PARTY SUPPLIERS

Bokkara coordinates services through independent third-party suppliers, including but not limited to:

• Airlines
• Hotels
• Resorts
• Cruise lines
• Transportation providers
• Car rental companies
• Activity operators
• Tour providers
• Event operators

Bokkara is not responsible for:

• Supplier cancellations
• Schedule changes
• Delays
• Service interruptions
• Overbookings
• Lost baggage
• Personal injuries
• Weather disruptions
• Government restrictions
• Supplier insolvency
• Circumstances beyond Bokkara's reasonable control

All reservations remain subject to the terms and conditions of the applicable supplier.

13. NO GUARANTEE OF AVAILABILITY

Bokkara does not guarantee:

• Flight availability
• Hotel availability
• Reservation approval
• Pricing stability
• Supplier participation
• ClubCoverage approval
• ClubMiles accumulation
• ClubPoints accumulation
• BNPL approval
• Travel experience availability
• Benefit approval

All services remain subject to operational capacity and third-party availability.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• Bokkara shall not be liable for indirect, incidental, special, punitive, or consequential damages.
• Bokkara's maximum liability arising from this Agreement shall not exceed the total Partnership fees paid by the Partner during the previous three (3) months.
• Bokkara shall not be responsible for losses arising from supplier actions, travel interruptions, weather events, government actions, or circumstances outside Bokkara's reasonable control.

15. MODIFICATIONS TO PROGRAMS OR TERMS

Bokkara reserves the right to:

• Modify Partnership pricing
• Modify ClubCoverage benefits
• Modify ClubMiles earning structures
• Modify ClubPoints conversion rates
• Modify BNPL requirements
• Modify travel experiences
• Add or remove benefits
• Update operational policies
• Amend this Agreement

Changes become effective upon publication or notification by Bokkara.

Continued participation in the Partnership after such changes constitutes acceptance of the revised terms.

16. GOVERNING LAW

This Agreement shall be governed and interpreted under the laws of the jurisdiction in which Bokkara Management LLC is organized and conducts business.

17. ACCEPTANCE OF AGREEMENT

By enrolling in the ClubAvantage Partnership Program, the Partner confirms that they:

• Have read and understood this Agreement.
• Accept all payment obligations associated with the Partnership.
• Agree to all Partnership terms and conditions.
• Understand the ClubCoverage, ClubMiles, ClubPoints, and Book Now, Pay Later program rules.
• Understand the beneficiary and account usage requirements contained in this Agreement.
• Authorize Bokkara to provide Partnership services under this Agreement.
• Acknowledge that ClubCoverage is not insurance and that ClubMiles and ClubPoints hold no cash value.
